Can you provide a thumbnail description of MPC's products and markets? Pure-Flo MPC, as the company has been renamed, manufactures process systems (also known as skids), process modules and pressure vessels, primarily for biopharmaceutical and pharmaceutical companies. Skids are single-purpose systems - containing pumps, valves, pressure vessels and instrumentation - used to produce high-purity drugs. Filtration skids remove impurities. Chromatography skids capture or concentrate the chemical or biological output. Clean-in-Place skids are used for sterilization. Process modules can be multi-purpose systems which perform multiple functions - filtration, concentration, sterilization. They are generally larger than skids, large enough for multi-level employee work platforms, and are usually built-in with new construction. Is MPC considered a leader in its markets? MPC is definitely a leader in the large process module market, certainly in the top three. What sets MPC apart from the competition? MPC comes from a construction background and brings that mentality to the production of their process modules. They understand the issues that arise with construction and don't simply supply a product. They do an outstanding job of providing quality documentation - everything from material certifications to information about who made the welds - making it much easier for the customer to go through the FDA validation process. It's very difficult to produce accurate documentation and have it ready to go at the same time as the equipment. MPC has the best "turnover package" in the industry. Why was MPC a good fit for ITT Industries? With this acquisition, the Pure-Flo Solutions Group can now offer a single-source shop to our pharmaceutical and biopharmaceutical customers. They can get their diaphragm valves from Pure-Flo, pressure vessels from Pure-Flo Precision, and skids, process modules and bio-reactors from Pure-Flo MPC, Pure-Flo Cotter or Pure-Flo California. How will being part of ITT benefit MPC? ITT will bring some expertise to MPC that they wouldn't have themselves, in terms of Value-Based Six Sigma, Computer-Aided Design tools, and production planning. It also allows all our Pure-Flo companies to share engineering flexibility and provides flexibility in terms of manufacturing capacity. If one shop gets busy, we can handle the work in another shop. Cross-selling opportunities and pull-through should generate more sales than MPC could have achieved alone. What's the best part of acquiring MPC? This was part of our growth strategy for Pure-Flo Solutions Group. We wanted to enter the process module business, and MPC brings us that capacity. It's the definition of a strategic acquisition.
